Terms of Service

These terms form the agreement between you (the “Customer”) and Karolis Paulikas, sole trader (the “Provider”). By using eCMR Capture, you accept these terms.

1. Service description

eCMR Capture is a software tool that automatically extracts 24 structured fields from a CMR waybill photo, in line with the international CMR Convention. Output is delivered as JSON, CSV, or eFTI XML. The 24-field schema is documented in the product documentation.

2. Account and eligibility

The service is offered exclusively for business use (B2B). By registering you confirm that you represent a legal entity, a sole trader, or an equivalent business form.

Consumers (B2C) are out of scope. If a consumer accidentally subscribes, we refund the full amount and close the account within 14 days.

3. Acceptable use

  • Only documents related to the carriage of goods may be uploaded. Personal data unrelated to the freight task must not be uploaded.
  • The Customer warrants that they have a legal basis to upload each document and the personal data it contains.
  • Reverse engineering, scraping extraction results for competitive benchmarking, and using the service to train any third-party AI model are prohibited.
  • Reselling the service to third parties without the Provider’s written consent is prohibited.

4. Pricing and billing

14-day trial without a payment card. If you continue, the account is billed automatically until cancellation. You may cancel at any time with no additional fees.

Prices are stated excluding VAT. LT customers are charged 21% VAT where the Provider is VAT-registered. PL/LV/EE B2B customers are handled under the EU reverse-charge mechanism (the buyer accounts for VAT in their own member state) per Council Directive 2006/112/EC and the EU B2B VAT amendments effective 2025-05-01.

5. Liability cap

The Provider’s aggregate liability under this agreement, regardless of the basis of liability, is limited to the lesser of: €5,000 or the fees paid in the preceding 12 months.

This cap does not apply to gross negligence or wilful misconduct, nor to any liability that cannot be limited under the Lithuanian Civil Code (LR CK Art. 6.252). The Provider is not liable for indirect damages, lost profit, or reputational harm, to the extent permitted by the Civil Code.

Uptime is measured per calendar month. Scheduled maintenance windows (up to 4 hours per month, announced 48 hours in advance) do not count against uptime.

7. eFTI responsibility and the legal status of CMR data

eCMR Capture is an extraction layer and not a certified eFTI platform under Regulation (EU) 2020/1056 and Implementing Regulation (EU) 2024/3024. The Customer remains responsible for the legal validity, authenticity, and submission of CMR data to public authorities through the eFTI network.

Certificates start being issued from 2027. We will notify customers as soon as we obtain a certificate or sign with a certified eFTI access provider.

8. Termination

Either party may terminate with 30 days’ notice. Material breach — non-payment, AUP violations, fraud — allows for immediate termination.

On termination, the Customer may export their data via API or signed download link within 30 days. After that period, data is deleted from production systems; backups rotate within 90 days.

9. Disputes and governing law

This agreement is governed by the law of the Republic of Lithuania. Disputes that cannot be resolved by negotiation are submitted to the Vilnius Regional Court — exclusive jurisdiction.

10. Force majeure

The Provider is not liable for failure to perform if caused by circumstances beyond reasonable control of either party — including third-party service provider outages (OpenAI, Supabase, Vercel, Stripe, Cloudflare), governmental actions, cyber-attacks, or large-scale internet disruption.

The Customer’s sole remedy in such an event is a service credit, calculated under the SLA rules in section 6 if applicable to the plan tier.
